Terms of Service

These Terms govern your access to and use of the Paylop mobile application and related services. By using Paylop, you agree to be legally bound by these Terms.

1. Agreement to Terms

Welcome to Paylop ("Paylop", "we", "us", "our").

These Terms of Service ("Terms") govern your access to and use of the Paylop mobile application and related services (the "Services").

By creating an account or using Paylop, you agree to be legally bound by these Terms.

If you do not agree, you must not use the Services.

Paylop operates from Abu Dhabi, United Arab Emirates.

2. Description of Services

Paylop is a digital cashless tipping platform that enables:

Users ("Senders") to send tips via:

  • Stripe-based payments, or
  • Wallet balance transfers

Users ("Receivers") to:

  • Receive tips through a QR-linked account
  • Request withdrawals of available wallet balances

Paylop operates a ledger-based accounting system to record all transactions.

Paylop does not store or process full card details. All card transactions are processed by Stripe.

3. Eligibility

By using Paylop, you represent that:

  • You are legally capable of entering into binding agreements under applicable law.
  • The information you provide is accurate and complete.
  • You will not use the Services for unlawful or fraudulent activity.

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Account Registration & Security

Users may register using:

  • Email and password
  • Google sign-in
  • Apple sign-in

Biometric authentication may be used on supported devices.

Users are responsible for:

  • Maintaining the confidentiality of login credentials
  • All activity conducted through their account

Paylop enforces a cooldown period for logins from new devices as a security measure.

5. Wallet & Ledger System

5.1 Wallet Structure

Each registered user has one account and one wallet.

Wallet balances are maintained via ledger entries only. Balances are credited or debited strictly upon creation of a corresponding transaction record.

No balance may be modified directly through administrative override or external API manipulation.

5.2 Stripe-Based Tips

When a Sender pays via Stripe:

  • A Stripe PaymentIntent is created.
  • Upon successful confirmation:
    • A ledger entry is created.
    • The Receiver's wallet is credited.
  • Stripe independently processes card details.

5.3 Wallet-Based Tips

When a Sender uses wallet balance:

  • A temporary lock may be created.
  • Upon settlement:
    • Ledger entries are created.
    • Balances are updated accordingly.
  • Stripe is not involved in wallet-to-wallet transfers.

6. Withdrawal Requests

Receivers may request withdrawal of available wallet funds.

Important:

  • Withdrawal requests create a pending balance state.
  • Funds are debited only upon administrative approval.
  • Withdrawals require submission of valid bank account details.

Paylop reserves the right to:

  • Review withdrawals for fraud or compliance
  • Reject or delay withdrawals where suspicious activity is detected

Processing times may vary.

7. Fees

Paylop may apply transaction or processing fees, which will be disclosed within the application where applicable.

Stripe may apply payment processing fees in accordance with its own terms.

8. Prohibited Activities

Users may not:

  • Use Paylop for money laundering
  • Engage in fraudulent tipping
  • Reverse engineer the platform
  • Attempt to manipulate ledger logic
  • Use automated systems to exploit tipping flows
  • Impersonate another individual

Violation may result in account suspension, permanent ban, or reporting to authorities.

9. Suspension & Termination

We may suspend or terminate accounts if:

  • Fraudulent activity is suspected
  • These Terms are violated
  • Required by law or regulatory authorities

Termination does not eliminate outstanding obligations.

10. Intellectual Property

All platform content, software, branding, and system architecture are owned by Paylop.

Users may not reproduce, copy, distribute, or exploit any part of the platform without written permission.

11. Third-Party Services

Paylop integrates third-party providers including:

  • Stripe

Use of such services may also be governed by their respective terms and policies.

Paylop is not responsible for failures or service interruptions caused by third-party providers.

12. No Financial Institution Status

Paylop is a technology platform facilitating digital tipping.

Paylop is not a bank, financial institution, or licensed deposit-taking entity.

Wallet balances represent ledger-recorded value within the platform and are not insured by any government agency.

13. Limitation of Liability

To the fullest extent permitted by law:

Paylop shall not be liable for:

  • Indirect or consequential damages
  • Loss of profits
  • Loss due to unauthorized access
  • Delays caused by third-party providers
  • Banking transfer failures

Total liability shall not exceed the total fees paid by the user to Paylop in the preceding 6 months.

14. Indemnification

You agree to indemnify and hold harmless Paylop from any claims arising from:

  • Your misuse of the Services
  • Violation of these Terms
  • Fraudulent or unlawful activity

15. Dispute Resolution

These Terms shall be governed by the laws of the United Arab Emirates.

Any disputes shall be resolved in the competent courts of Abu Dhabi, unless otherwise required by law.

16. Modifications

We may update these Terms periodically.

Continued use of the Services after updates constitutes acceptance of revised Terms.
